Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FastFile platform and services (the "Service") provided by Filient LLC ("FastFile," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you represent that:

• You are at least 18 years old
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws
• All information you provide is accurate and complete

2. Description of Service

FastFile provides tax preparation automation software for foreign-owned single-member LLCs (SMLLCs), including:

2.1 Free Services

• Bulk Form 7004 Extensions: Generation of IRS extension forms from CSV data. CSV parsing and PDF generation occur in your browser. Column mapping and address parsing are processed via Google Gemini AI (enterprise API) — data is processed and immediately discarded, not stored or used for AI training.

2.2 Paid Services

• Pro Forma 1120 Preparation: Automated generation of IRS Form 1120
• Form 5472 Preparation: Automated generation of Form 5472 (Parts I, II, III)
• PDF Data Extraction: Extraction of data from prior-year tax forms

Pricing: $13 per tax return generated. The first 3 returns are provided free of charge.

3. User Accounts

3.1 Account Creation

• You must create an account to access certain features
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access

3.2 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You provide false or misleading information
• Your account is used for fraudulent or illegal activities
• We are required to do so by law

You may delete your account at any time through your account settings or by contacting info@fastfile.io.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You will NOT:

4.1 Prohibited Activities

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools (bots, scrapers) without permission
• Impersonate others or provide false information
• Resell or redistribute the Service without authorization
• Use the Service to prepare fraudulent tax returns

4.2 User Responsibility

• You are solely responsible for the accuracy of all information you provide
• You must review all generated forms for accuracy before filing
• You are responsible for compliance with all tax laws and regulations

5. Intellectual Property

5.1 Our Rights

The Service, including all content, features, and functionality, is owned by Filient LLC and protected by United States and international copyright, trademark, and other intellectual property laws.

5.2 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business tax preparation purposes, subject to these Terms.

5.3 Your Content

You retain ownership of all data and documents you upload to the Service. By uploading content, you grant us a license to use, store, and process that content solely to provide the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILIENT LLC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from use or inability to use the Service
• Damages resulting from errors in generated forms
• IRS penalties, interest, or rejection of tax returns
• Any damages exceeding the amount you paid us in the past 12 months

7. Payment Terms

7.1 Pricing

• Current pricing is $13 per tax return generated
• The first 3 returns are free
• Prices are subject to change with 30 days' notice

7.2 Refund Policy

Refunds may be issued at our sole discretion in cases of:

• Service failure or technical errors preventing form generation
• Duplicate charges or billing errors

Refund requests must be submitted within 30 days to info@fastfile.io.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

9.2 Arbitration Agreement

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration, except:

• Claims in small claims court (if eligible)
• Claims for injunctive or equitable relief

Arbitration Terms:

• Conducted by the American Arbitration Association (AAA)
• Governed by AAA Commercial Arbitration Rules
• Held in Wyoming or remotely at your option
• Each party bears their own costs and attorney fees

CLASS ACTION WAIVER: You agree that disputes must be resolved on an individual basis. You waive the right to participate in class actions, class arbitrations, or representative actions.
